Section 85 is a useful provision in the context of estate planning and business reorganizations. This course will cover the basic concepts and discuss various scenarios where section 85 may be utilized by the taxpayer. 

Learning Objectives

  • Understand the conditions to be met in order for Section 85 to apply
  • Understand the components of the election (i.e. PUC, boot etc.)
  • Become familiar with scenarios where Section 85 applies: 
    • transferring assets from an individual to a private corporation (and corp to corp)
    • share freeze to transfer ownership of a private corporation to a trust
    • purifying a private corporation to meet the conditions of a small business corporation
  • Understand the potential income tax consequences of the above (i.e. integration)
